Qualifying startups can build commercially with ToggleLogic Free without advance contact. They can also activate commercial production rights for the public ToggleLogic Intelligence engine through a free, automatic company and project registration.

No advance approval or early contact is required while your consolidated startup group remains below both published thresholds.

Register Intelligence production use

Inspection, cloning, non-production evaluation, and contribution require no registration. An eligible startup registers its company and project before commercial production use.

Contact us early if you want commercial terms ready for financing or diligence, maintained registry intelligence, an architecture discussion, support, a partnership, or an evaluation. Early conversation is encouraged—not required.

Startup Use

Two objective thresholds. No projected-sales test.

You qualify until your Startup Group first reaches either threshold, calculated on a consolidated basis across entities you control. Passive minority investors and their other portfolio companies are not grouped with you solely because of an investment, observer right, or customary protective rights.

Funding counts when received—not when announced, committed, or projected. Revenue is measured at each calendar month-end from amounts actually recognized under the accounting method consistently used in your books. ARR, valuation, pipeline, bookings that are not recognized as revenue, and projected annual sales do not count.

What happens after either threshold is crossed

Day 0

The Threshold Event occurs and an automatic 180-day Transition License begins. Your product does not have to shut down.

Within 30 days

Notify Motherboard through the threshold-notice path. Contact begins a discussion; it does not itself create a paid license or force either party to reach an agreement.

Days 0–180

Continue the same commercial use, customer onboarding, shipping, maintenance, and ordinary product operations while considering a commercial license, extension, or migration.

After day 180

Without a commercial agreement or written extension, stop new external commercialization using ToggleLogic Free. A 12-month continuity period permits security, compatibility, defect-correction, and migration updates for customers already deployed or contractually committed.

Two packages, two grants, one clear proprietary boundary

ToggleLogic Free requires no registration. The public Intelligence engine requires company and project registration before commercial production use. Neither grant includes the production Toggle Registry, maintained benchmark data, normalization, weighting, rankings, private classifiers, customer evidence, credentials, signed model packs, support, hosted services, or other separately delivered proprietary components.

Intelligence registration

Registration is free and automatic for an eligible company. It records the legal entity, authorized contact, project, intended production use, funding and revenue ranges, controlled group, license version, and acceptance timestamp. It is not a sales qualification or discretionary approval. A separate tamper-evident acceptance record supports license administration; marketing consent remains optional.

Acquisitions and controlled entities

Controlled subsidiaries share the grant and are aggregated for both thresholds. A bona fide acquisition is not a retroactive breach. At closing, the combined controlled group is tested; if either threshold has been reached, closing starts the notice and transition timeline.

Notice, cure, and stable released versions

Send a threshold notice within 30 days. A first non-fraudulent breach is generally curable for 30 days after written notice. Rights for a lawfully received release are not revocable without a material breach, although Motherboard may stop distributing it or use different terms for future releases.
